Terms & Conditions
These Terms & Conditions govern use of the Roxiera Group website and the purchase or use of Roxiera Group LLC services, consultations, mentorship programs, digital solutions, subscriptions, memberships, recurring services, and related offerings.
Agreement to These Terms
By purchasing or using a Roxiera service or program, you agree to these Terms and any applicable proposal, service agreement, program agreement, statement of work, or other written terms associated with your engagement.
Services
Roxiera Group provides business and technology-related services that may include business consulting, marketing and growth guidance, website and digital services, artificial intelligence and automation solutions, e-commerce education and mentorship, private consultations, ongoing management services, and related services.
Specific scope, pricing, timelines, and deliverables may vary by engagement.
Payments
Clients are responsible for paying applicable fees according to the terms presented at checkout, on an invoice, proposal, program agreement, service agreement, subscription enrollment, membership enrollment, or other applicable purchase document.
Client Responsibilities
Many Roxiera services require active client participation.
Clients are responsible for providing requested information, content, credentials, approvals, decisions, documentation, materials, and feedback within reasonable or agreed timelines.
Client-caused delays may affect delivery schedules and do not automatically create a right to a refund.
No Guarantee of Results
Roxiera Group does not guarantee:
- Sales
- Revenue
- Profit
- Return on investment
- Customer acquisition
- Advertising results
- Search rankings
- Website traffic
- Product performance
- Viral content
- Amazon, TikTok, or other marketplace approval
- Seller-account approval or continued account status
- Any particular business or financial result
Results depend on numerous factors outside Roxiera Group's control.
Examples, strategies, projections, case discussions, or potential outcomes are educational and should not be interpreted as guarantees.
Third-Party Platforms
Some Roxiera services involve third-party platforms or providers.
Roxiera Group does not control the decisions, policies, availability, pricing, approvals, suspensions, technical performance, or future changes of third-party platforms.
Changes or actions taken by Amazon, TikTok, hosting providers, payment processors, advertising platforms, AI providers, or other third parties do not constitute a guarantee or representation by Roxiera Group.
Client Business Expenses
Unless expressly included in writing, clients are responsible for third-party expenses associated with their business or project, including where applicable:
- Domains
- Hosting
- Software
- APIs
- Advertising
- Inventory
- Suppliers
- Product samples
- Shipping
- Marketplace/platform fees
- Licenses
- Subscriptions
- Other external business costs
Recurring Services, Subscriptions & Memberships
Roxiera Group may offer optional ongoing or recurring services, subscriptions, and memberships.
These may include website management, website maintenance, digital-presence management, Google Business Profile management, technology support, AI or automation support, and other continuing business services.
Recurring services, subscriptions, and memberships are separate from an initial purchase unless expressly included in the original agreement.
Before enrollment in automatic recurring billing, the applicable price, billing frequency, renewal terms, material recurring-payment terms, and cancellation method will be disclosed.
The client must affirmatively authorize the recurring arrangement before automatic recurring charges begin.
Roxiera Group will not intentionally enroll a client in automatic recurring billing solely because the client previously purchased another service.
Clients may cancel recurring services according to the cancellation method disclosed at enrollment, including an available online account or billing-management option where applicable.
Unless otherwise stated or required by applicable law, cancellation prevents future renewals but does not ordinarily result in a refund for a billing period that has already begun.
Service may continue through the end of the already-paid billing period.
Any legally required renewal reminders, notices of material changes, cancellation mechanisms, or other disclosures will be provided where applicable.
Artificial Intelligence & Automation
AI and automated systems may produce inaccurate, incomplete, unexpected, or inappropriate outputs.
Clients are responsible for appropriate review of important AI-generated information and for determining whether automated systems are suitable for their particular business use.
Roxiera Group does not guarantee uninterrupted or error-free operation of third-party AI or automation technologies.
Intellectual Property
Roxiera Group retains ownership of its proprietary methodologies, frameworks, training materials, templates, educational content, processes, and other intellectual property unless otherwise agreed in writing.
Roxiera materials may not be copied, resold, republished, distributed, licensed, taught, or commercially exploited without written authorization.
Ownership and usage rights for custom client deliverables may be further defined by the applicable service agreement or statement of work.
Confidentiality
During consulting, mentorship, or project engagements, the parties may exchange non-public business information.
Roxiera Group will use reasonable care in handling confidential client information provided for an engagement.
Clients are likewise expected to respect confidential and proprietary Roxiera Group information and materials.
Professional Advice Disclaimer
Roxiera Group provides business, technology, marketing, educational, and consulting services.
Unless expressly provided under a separate appropriate professional engagement, Roxiera services are not legal, tax, accounting, investment, or financial advice.
Clients should consult appropriately qualified professionals when such advice is required.
Limitation of Liability
To the maximum extent permitted by applicable law, Roxiera Group LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages resulting from use of the website, services, programs, third-party platforms, or client business decisions.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Service-Specific Agreements
Certain higher-value, customized, or intensive engagements may require a separate signed agreement.
Where a signed service or program agreement contains terms that differ from these general website Terms, the specific agreement will govern that engagement to the extent permitted by applicable law.
Refunds & Cancellations
Refunds, cancellations, appointment changes, and missed sessions are governed by the Roxiera Group Refund & Cancellation Policy and any applicable service-specific agreement.
Governing Law
These Terms are governed by the laws of the State of California, except where applicable law requires otherwise.
Changes to These Terms
Roxiera Group may update these Terms periodically.
Updates will be posted on this page with a revised “Last Updated” date.
